Areas in Banking

The opportunities and challenges in this part of our business come thick and fast – and in all shapes and sizes. They range from acquisitions, financing, divestitures and restructurings to leveraged buyouts, exclusive sales and takeover defence. No matter which area you work in, you’ll enjoy the flexibility to find your passion, and build your skills in a host of different directions.

We operate three major business units:

  • Capital Markets
  • Corporate Finance Mergers and Acquisitions
  • Financial Institutions Group

Learn more about each below.

Capital Markets

Capital Markets
This is where you will be involved in equity and debt origination, loans, structuring, risk management and syndication across continents and sectors.
Debt Capital Markets
  • Debt Capital Markets

Here you’ll work with the team to raise debt financing for corporates, sovereigns, supranational entities and financial institutions. You’ll collaborate with clients to develop and apply solutions tailored to their specific financing needs, which could see you involved in anything from helping a university or school invest in new buildings to funding the largest acquisitions across the globe.

    How it works

    Back to overview

Let’s say a utility company wants to raise funds to invest in its network. It decides to issue a bond (essentially a tradable IOU that pays the holder a set level of interest each year, then the full value when it matures at a fixed point in the future). The company’s revenue is in Sterling so it wants to pay the interest off in Sterling too. But our Risk Solutions Group and Debt Capital Markets team advise that raising funds in Euros could be at a lower interest rate. Debt Capital Markets, partnering with our Syndicate team, issues the bond to investors in Euros. Meanwhile the Risk Solutions Group structures a cross-currency swap. This allows the client to pay us a fixed Sterling amount and receive the Euros it needs to pay its bondholders.

  • Risk Solutions Group (RSG)

We help our clients identify and deal with risks to their business arising from the financial markets. These risks include moves in interest rates, foreign exchange rates and inflation. You’ll help to develop, structure and execute solutions using derivatives (a type of financial instrument) and present ideas to clients while learning about what drives some of the world’s biggest financial markets.

    How it works

    Back to overview

RSG helped a UK media company buy significant European assets from a US peer. A big purchase like that comes with all sorts of financial risks, and the types of risk depend on how you find the money and what you want to do with it. The company raised US Dollars from investors in the US, but the asset purchase was denominated in Euros. Barclays structured a derivative transaction to help them swap between the two currencies, as well as reducing the risk they’d face if there were any future changes in interest rates in Europe which would affect the exchange rate of the two currencies.

  • Equity Capital Markets

This is the team that gives clients a comprehensive range of capital raising solutions relating to equity. It is a fast-paced environment in which you’d help originate and execute equity and equity-linked transactions. These include Initial Public Offerings (IPOs), follow-on transactions, private placements, convertible bonds and share repurchases. Because they’re all to do with equity, they’re highly strategic transactions that are carefully tailored to help our clients achieve their specific goals.

    How it works

    Back to overview

A fast-growing independent gym company is considering going public. It wants to raise capital to fund its expansion and boost
its profile. Our Equity Capital Markets (ECM) team would guide the company through the IPO process including crafting their equity story, introducing the company to investors as part of a process known as a roadshow and co-ordinating with the regulator and other advisers before launching and raising the capital through a public bookbuild. This is a historic event for a corporate client, so we’d also support them after listing, continuing to advise on a range of equity and equity-linked solutions that become available once the company is publicly traded.

  • Leveraged Finance

This team generates funding for companies that already have a considerable amount of debt, and because the funding is riskier, it’s also more costly. Often it’s used to achieve a specific, usually temporary, goal - like funding a specific investment programme or acquisition. You’ll help design, structure and syndicate the unique financing needed, using high yield bonds and leveraged loans. During your time in the team, you’ll work with corporate and financial sponsor clients on a range of projects, such as leveraged buyouts, acquisition financings, refinancings, and raising growth capital and undertaking dividend recapitalisations.

    How it works

    Back to overview

Company X is a publicly traded, casual dining chain with over 300 sites. Company Y is a private equity firm that wants to acquire Company X and help it expand. Company Y turns to Barclays for financing, and Leveraged Finance creates the financing package that supports Company Y's acquisition bid. Once Company X’s shareholders approve the deal, we arrange a loan from a number of key investors to finance it. The buy-out will help Company X roll out a further 30 restaurants a year over the next three to four years, benefitting itself and Company Y, as well as its private equity investors.

Corporate Finance Mergers and Acquisitions (CFMA)

Corporate Finance Mergers and Acquisitions (CFMA)
Here you’ll work across a range of sectors and geographies to deliver M&A, capital raising, structured solutions or risk management solutions to our corporate clients.
  • CFMA

Here you will develop a broad base of corporate finance skills as you work alongside experts in different industries and geographies. Between industry bankers and country bankers, we work together to deliver holistic client coverage across the product spectrum, be it M&A, capital raising, structured solutions or risk management. You could be involved in everything from calculating the financial impact of an acquisition, sale or disposal and how the deal would affect a client’s performance, to deciding how to finance the transaction and who to approach. Often you’ll collaborate with accountants, lawyers and PR firms, as well as with colleagues in Capital Markets to provide seamless execution of the deal.

    How it works

    Back to overview

Company X decides it would like to consider buying Company Y and discusses the transaction with Barclays.  We help Company X with the strategic metrics for doing the transaction as well as how much Company Y is worth and the financial impact it would have on their performance.

Barclays also helps with the tactics, e.g. who to approach at Company Y, what the initial price should be, as well as with any negotiations that takes place between the two companies.  Often we need to involve our Global Finance and Risk Solutions colleagues if there is any finance needed, e.g. debt or new equity to raise as part of the transaction, perhaps to pay the shareholders of Company Y.  We also work alongside other advisers in the transaction, e.g. accountants, lawyers, public relations, with the main goal to obviously ensure a successful outcome for everybody.

    How it works

    Back to overview

Company A is a US publicly traded firm in the facilities management (“FM”) sector looking to increase its exposure to the UK FM market by acquiring Company B, a UK FM market leader. The CEO of Company A initially approaches Barclays to better understand what a potential transaction could look like. Once the decision has been made to proceed with the transaction, Barclays transatlantic M&A teams work together to provide advice on strategy, tactics and engagement with Company B, modeling the effects of the transaction. We also provide guidance to Company A on the regulatory, anti-trust and UK takeover dynamics. In addition, the M&A team will manage the overall transaction, coordinating with the Barclays ECM team to raise cash through a rights issue, the Barclays DCM team to arrange debt financing, the Barclays RSG team to hedge the currency exposure of Company A, as well as with all other legal, commercial and PR advisers to Company A.

  • Financial Sponsors Group

As a part of FSG team, you will work with private equity and other financial investors in close collaboration with sector, country and capital markets teams to help clients identify and execute on investment opportunities, create value during their investment period through M&A and capital structure enhancements and support them with maximising their return on exit.

Financial Institutions Group (FIG)

Financial Institutions Group (FIG)
Working with our whole suite of products, you’ll support our banking, insurance, asset management and financial technology clients.
  • Financial Institutions Group

FIG supports banks, insurers, asset managers, financial technology companies and specialty finance clients across the globe. Our clients are systemically important, regulated and inherently different from other companies, as reflected by their distinctive financial statements. FIG provides its clients with the whole banking product suite, including M&A, solutions in managing the increasingly complex regulatory framework and the execution capabilities to access equity and debt capital markets. This integrated approach helps our clients thrive in today’s challenging and continuously-evolving financial landscape.

    How it works

    Back to overview

A recent change in UK pension regulation significantly impacted the business model of some of our clients. The Barclays FIG team acted as lead financial advisor on the merger between two such UK insurance companies, helping create a leader in the transformed UK insurance market. The deal created significant cost savings and positioned the new, larger company to thrive in the new regulatory environment.
