We operate in two major business units:
Here you’ll work with the team to raise debt financing for corporates, sovereigns, supranational entities and financial institutions. You’ll collaborate with clients to develop and apply solutions tailored to their specific financing needs, which could see you involved in anything from helping a university or school invest in new buildings to funding the largest acquisitions across the globe.
Let’s say a utility company wants to raise funds to invest in its network. It decides to issue a bond (essentially a tradeable IOU that pays the holder a set level of interest each year, then the full value when it matures at a fixed point in the future). The company’s revenue is in Sterling so it wants to pay the interest off in Sterling too. But our Risk Solutions Group and Debt Capital Markets team advise that raising funds in Euros could be at a lower interest rate.
Debt Capital Markets, partnering with our Syndicate team, issues the bond to investors in Euros. Meanwhile the Risk Solutions Group structures a cross-currency swap. This allows the client to pay us a fixed Sterling amount and receive the Euros it needs to pay its bondholders.
This
is the team that gives clients a comprehensive range of capital raising
solutions relating to equity. It is a fast-paced environment in which you’d
help originate and execute equity and equity-linked transactions. These include
Initial Public Offerings (IPOs), follow-on transactions, private placements,
convertible bonds and share repurchases. Because they’re all to do with equity,
they’re highly strategic transactions that are carefully tailored to help our
clients achieve their specific goals
A fast-growing independent gym company is considering going public. It wants to raise capital to fund its expansion and boost its profile. Our Equity Capital Markets (ECM) team would guide the company through the IPO process including crafting their equity story, introducing the company to investors as part of a process known as a roadshow and co-ordinating with the regulator and other advisers before launching and raising the capital through a public bookbuild. This is an historic event for a corporate client, so we’d also support them after listing, continuing to advise on a range of equity and equity-linked solutions that become available once the company is publicly traded.
This team generates funding for companies that already have a considerable amount of debt, and because the funding is riskier, it’s also more costly. Often it’s used to achieve a specific, usually temporary, goal – like funding a specific investment programme or acquisition. You’ll help design, structure and syndicate the unique financing needed, using high yield bonds and leveraged loans. During your time in the team, you’ll work with corporate and financial sponsor clients on a range of projects, such as leveraged buyouts, acquisition financings, refinancing, and raising growth capital and undertaking dividend recapitalisations.
Company
X is a publicly traded, casual dining chain with over 300 sites. Company Y is a
private equity firm that wants to acquire Company X and help it expand. Company
Y turns to Barclays for financing, and Leveraged Finance creates the financing
package that supports Company Y's acquisition bid. Once Company X’s
shareholders approve the deal, we arrange a loan from a number of key investors
to finance it. The buy-out will help Company X roll out a further 30
restaurants a year over the next three to four years, benefitting itself and
Company Y, as well as its private equity investors.
Here
you will develop a broad base of corporate finance skills as you work alongside
experts in different industries and geographies. Between industry bankers and
country bankers, we work together to deliver holistic client coverage across
the product spectrum, be it M&A, capital raising, structured solutions or
risk management. You could be involved in everything from calculating the
financial impact of an acquisition, sale or disposal and how the deal would
affect a client’s performance, to deciding how to finance the transaction and
who to approach. Often you’ll collaborate with accountants, lawyers and PR
firms, as well as with colleagues in Global Finance and Risk Solutions to
provide seamless execution of the deal.
These teams are responsible for the coverage of a specific industry across all geographies.
The Asia team focuses on four key markets out of its regional offices. While each office has a geographic focus, our work is global in nature, and most deals involve cooperation across offices both within Asia and across the globe
Company A is a UK publicly traded firm in the logistics and warehousing sector looking to increase its exposure to the Chinese logistics market by acquiring Company B, a Chinese last-mile delivery market leader. The CEO of Company A initially approaches Barclays to better understand what a potential transaction could look like. Once the decision has been made to proceed with the transaction, Barclays global M&A teams work together to provide advice on strategy, tactics and engagement with Company B, modeling the effects of the transaction. We also provide guidance to Company A on the regulatory, anti-trust and Chinese takeover dynamics. In addition, the M&A team will manage the overall transaction, coordinating with the Barclays ECM team to raise cash through a rights issue, the Barclays DCM team to arrange debt financing, the Barclays RSG team to hedge the currency exposure of Company A, as well as with all other legal, commercial and PR advisers to Company A.
